Agreement
An agreement between client and designer, a contract.
Client Needs
In order to create something that works for the client, the designer will need to know what the client wants, likes, and needs. This will be accomplished by listening to the client. [What is it for? What colors do you like, etc.] To save time, know what you need in advance. Give a copy to the designer.
Estimate
An estimate or quote is only good for 30 days.
Condition of Copy
If the copy is not as described, the estimate is no longer valid and a new estimate will be issued based on the copy.
Design Changes
Please review your copy before submitting it. Author's alteration changes that are made and are not errors on the designer's part are billed extra. The client is responsible for payment of any changes from the original project. Any mistakes on the part of the designer will be fixed free of charge.
Hourly Rates
Most fees are based on the project. First payment, 50% of total project cost. No work commences until first payment is received. I do not work on spec. Final payment, within 3 days of project completion, before the final work files are given to client. The process will include 3 ideas, you pick one, and we go from there making any changes with no more than three changes. There after billing will be hourly. To keep with the estimate have your copy ready for the designer, this saves your time and the designers time.
- Cost includes the idea creation & the marketing theme.
- Cost is the design price and excludes printing prices, unless noted.
- Cost includes idea and project identity creation/customization.
- The Color or CMYK printing method; a 4-color selection indicates full color, this increases cost.
- A graphic from one project used on another, such as an ad, client is billed for two jobs.
Proofs
A signed proof is necessary before work can be completed. Requests must be made for revised proofs. oKawa Studios cannot be held responsible for errors if the client doesn't return a signed proof, or if the client asks for changes without the submission of proofs. There may be some variance between color on a proof and color on a finished job.
- Printing is dependant on design, paper quality, site, cut, fold features and quantity.
- Clients are responsible for making sure all type and printing is correct when final proof is completed.
Copyright Ownership of Artwork
oKawa Studios retains the copyright ownership of it's artwork unless noted otherwise. Any third party artwork, such as clip art, used under licensing agreements belongs to their respective owners. Until full payment has been made, oKawa Studios retains ownership of all original designs or parts contained therein, whether preliminary or final. Upon full payment, the client shall obtain usage rights of the final design to use and distribute. oKawa Studios retains the right to use the completed project and any preliminary designs for the purpose of design competitions, future publications on design, educational purposes, marketing materials and portfolio. Where applicable the client will be given any necessary credit for usage of the project.
Payment Terms and Claims
Final payment, within 3 days of project completion, before the final work files are given to client.
Claims for defects, damages, and/or shortages must be made by the client in writing within a period of fifteen (15) days after delivery of all or any part of the order. Failure to make such claim within the stated period shall constitute irrevocable acceptance and an admission that they fully comply with terms, conditions, and specifications.
Expenses
Client is responsible for all expensise incurred by the job.
Production, Third Party Shipping and Delivery of Project
If the customer deviates from the production schedule provided, the finish date will change accordingly.
The client will assume any shipping or insurance costs related to the project. Any alteration or deviation from the above specifications involving extra costs will be executed only upon approval with the client. The designer shall not incur any liability or penalty for delays in the completion of the project due to actions or negligence of client, unusual transportation delays, unforeseen illness, or external forces beyond the control of the designer. If such event(s) occur, it shall entitle the designer to extend the completion/delivery date, by the time equivalent to the period of such delay.
oKawa Studios is not responsible for delays that are caused by third parties: the printer, the service bureau, etc.
In the event any material necessary for the production of the project must be shipped to a third party for additional processing, typesetting, photographic work, color separation, press work, or binding, the designer will incur no liability for losses incurred in transit, or due to the delay of the shipper of the third party.
Pre-Flight
After preparations of pre-flight are complete and due to the time necessary to pre-flight and prep files, a $25 fee will be assessed each time the designer makes a new change in the file requested by the client.
Rush Jobs
The designer should be given enough time to create the project/s, along with the information needed to be implement into the project from client/s. Some jobs have deadlines to meet, and information needs to be presented in a timely manner. Rush jobs can cause errors, and it's the client’s responsibility to give the designer all the information client/s need or wants included in the design, such as correct name spelling, numbers and addresses, etc. If the designer asks for specific information from the client, and it's not given to the designer until day's before the project deadline then the client will be billed for rushed work. Weekend and holiday work is rush work.
Cancellation
Also known as a "kill fee", if the job is canceled for any reason, the client is responsible for all expenses incurred to date.
In the event of cancellation of the project, ownership of all copyrights and the original artwork and disks shall be returned and retained by oKawa Studios (Tedd Kawakami), and a fee for work completed, based on the contract price and expenses already incurred, shall be paid by the client.
Disclaimer of Warranties
oKawa Studios cannot guarantee that a brochure, Website, etc. is going to bring in truckloads of work.
Confidentiality
All correspondence and documents provided will be treated as confidential between the client and the designer, unless consent has been granted by both parties involved.
Indemnity Agreement
Client agrees that oKawa Studios is not liable for any legal action that may arise from the designs, or any artwork the client supplies the designer with.
* When the job is done, client is expected to proofread the work and sign off on it.
